These terms and conditions (the “Responsive AI Supplementary Terms”) are an integral part of the Master Subscription Agreement or other written subscription agreement in which Responsive licenses its software to its Customers, together with any attachments issued thereunder (“you”, “your”) (the “Agreement”). They apply to your access and use of any Responsive AI feature(s) and, if applicable, your Responsive AI Subscription. All capitalized terms used herein shall have the same meaning as in the Agreement. In the event of a conflict between the Responsive AI Supplementary Terms and the Agreement, the Responsive AI Supplementary Terms will control.

“Responsive AI” refers to any feature(s) or functionality provided by Responsive that utilizes techniques such as generative artificial intelligence technology, natural language processing and  machine learning that generate high-quality texts, images and other content based on the Customer Data to comprehend and produce text based content Output for strategic response management, including but not limited to RFPs, RFIs, DDQs, ESG questionnaires, Security Questionnaires, Vendor Risk Assessments, and proposal generation.

Subscription Terms and Subscriptions. Unless otherwise stated in the applicable Order Form, the Subscription Term for Responsive AI shall align with your primary Subscription Term of the Software, including any renewal Subscription Terms. A complete description of the features and functionality included in the Responsive AI Subscription, as well as details regarding the relevant Software subscription plan are available in the Documentation.

Improving Responsive AI. Neither Responsive nor its third-party subprocessors of technology  will use Customer Data to train machine learning models for Responsive AI. Your use of Responsive AI does not grant us any rights to Customer Data for training purposes. Responsive may use anonymized data from Your use of Responsive AI for model improvement when you provide voluntary feedback or give explicit permission. Responsive will not make any change to Responsive AI that (i) eliminates the option for you  to disable or opt out of the use of Responsive AI; or (ii) seems reasonably likely to increase the chances of (A) Responsive AI producing biased or unreliable Output or (B) creating increased security risk for data or information provided by or for you.

Input and Output. Content, data or information provided by you to Responsive AI (“Input”) and the content, recommendations, predictions, decisions or other output generated by Responsive AI (“Output”) are considered data owned by you  and considered as your confidential data (“Data” or “Customer Data”). You are responsible for the content and use of your Data, ensuring compliance with applicable laws, these Responsive AI Terms, the Agreement, and our Acceptable Use Policy. You acknowledge that Responsive AI generates Outputs by transforming and augmenting Customer-managed content and other customer-supplied data. Any pre-existing bias or inaccuracy present in that source content may be reflected in the Output. Responsive will not intentionally add or amplify bias, and will provide tools (e.g., source-attribution, confidence scores (TRACE ScoreTM), and content-management controls) that enable you to understand, validate, and, if necessary, correct the Output.

Responsive AI Usage Restrictions. You may not use Responsive AI or the Output to (i) develop competing models or services; (ii) falsely represent Output as solely human-generated; (iii) create spam content; or (iv) violate any usage guidelines or technical parameters. Your use of Responsive AI is subject to fair and reasonable usage restrictions to ensure optimal performance and fair use across all Responsive AI users. Consequently, your access to AI features may be reduced by Responsive with reasonable advance notice or may require an upgrade or additional purchase. You acknowledge and agree that if you exceed what we determine to be reasonable usage: (a) you may be required to purchase additional usage rights to continue accessing and using Responsive AI; and (b) Responsive AI may disable or degrade performance of certain Responsive AI. Customer shall not use the AI Services to generate, request, or facilitate content that (i) is unlawful, defamatory, obscene, or infringes third‑party rights; (ii) exploits or depicts minors, including any child sexual‑abuse material; (iii) promotes hate, harassment, or extremist or terrorist activity; (iv) facilitates wrongdoing (violent or non‑violent), including instructions for weapon creation; (v) discloses sensitive personal data without a lawful basis;

Representations and Warranties. Responsive represents and warrants that Responsive AI will not (i) include the collection or processing of information that is classified as restricted, biometric, or sensitive under any applicable law. Responsive AI operates within the same audited and certified security perimeter as the Software. Responsive shall maintain a risk management program that implements the NIST AI Risk Management Framework and will comply with requirements under applicable laws for: (i) the development, deployment, and use of AI, and (ii) the collection and use of related training and other data. Responsive shall notify you promptly upon discovering that any component of Responsive AI fails to operate in accordance with any industry standards, best practices, or applicable law.

WARRANTY DISCLAIMER. RESPONSIVE MAKES NO WARRANTY AS TO THE RESULTS OBTAINED FROM THE USE OF RESPONSIVE AI. USE IS AT YOUR OWN RISK. DO NOT RELY SOLELY ON OUTPUT WITHOUT HUMAN REVIEW AND VERIFICATION. OUTPUT MAY CONTAIN INACCURACIES AND DOES NOT ACCOUNT FOR EVENTS OR CHANGES OCCURRING AFTER AI MODEL TRAINING. NO  INFORMATION, SUGGESTION, OR OUTPUT, OBTAINED BY YOU FROM RESPONSIVE OR THROUGH AI FUNCTIONS, SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.

Information Requests. Upon written request from you or any regulatory authority, Responsive will i) provide a description of its Responsive AI risk management framework and related impact assessments, ii) describe the level of human oversight in AI used for Responsive AI, including when recommendations or results can be overridden, iii) provide other reasonably requested Responsive AI information for your compliance with applicable law, such as testing and validation overviews and results, iv) cooperate with any Responsive AI testing or validation performed by you or your confidential third party, v) perform root cause analysis, diagnose, and promptly correct material errors (including unreasonable bias violating policies or law) identified during testing or otherwise discovered. All exchanged information and related discussions will be considered Confidential information under the Agreement.

Service Level Terms Not Applicable. Notwithstanding anything to the contrary in your Agreement, any Downtime resulting from third-party service failures is not included in Availability and Downtime calculations outlined in the Agreement.

Modifications. We may modify, or update these Responsive AI Supplementary Terms from time to time, as necessary to comply with industry standards, best practices and applicable law. In such cases, we will update the “Last Updated” date at the top of this page. You may subscribe to our Trust Center to receive email notifications of any changes to these terms. Your continued use of Responsive AI after any change to the Responsive AI Supplementary Terms becomes effective constitutes your acceptance of the new Responsive AI Supplementary Terms.
